Terms and Conditions

Welcome to Composability Ltd. These Terms and Conditions (“Terms”) govern your use of our website, ComposabilityScores™ platform, investor readiness services, and related offerings. By accessing or using our services, you agree to comply with these Terms. If you do not agree, please do not use our platform.

1. Regulatory Status and FCA Disclaimer

Composability Ltd is not regulated by the Financial Conduct Authority (FCA). We do not provide regulated investment advice, arrange investments, or act as a broker or financial advisor. All services offered, including investor readiness assessments, scoring tools, and investor matchmaking insights, are for informational purposes only and do not constitute financial advice. Users should seek professional guidance from FCA-authorised providers where appropriate.

2. Services Overview

  • ComposabilityScores™: AI-powered startup evaluation and benchmarking.
  • Investment Readiness Program: 10-week cohort-based mentoring and strategy support.
  • Advisory Services: Growth, funding, and investor introduction advisory.
  • Document Review: AI-enabled analysis of pitch decks and financials.
  • M&A Deal Sourcing: Identification of high-potential B2B SaaS targets.
  • Risk-Adjusted Analytics: Insight tools including RADR, IRR, RAR metrics.
  • Due Diligence Reports: Deep dives into prospective investment opportunities.
  • Venture Acceleration: Strategic advisory for pre-seed and seed-stage startups.

3. Fees, Equity Options & Advisory Agreements

  • Program Participation: £1,000 per month for selected startups.
  • Equity Option: 1–2% deferred fee option (subject to separate agreement).
  • Advisory Sessions: £625 (inc. VAT) per hour with our Expert Advisors.
  • Success-Based Engagements: 2% of funds raised via our investor referrals.
  • M&A and Due Diligence: Priced based on scope and contract.

All fees are non-refundable unless explicitly stated. Equity options and success fees are governed by specific contracts.

4. Client Engagement Terms

Engagement clients agree to:

  • Attend scheduled sessions and reply to correspondence within 5 business days.
  • Pay upfront fees as per contract milestones.
  • Pay success fees for any investment resulting from an introduction by Composability, directly or indirectly, for up to 6 months after engagement ends (the “tail period”).
  • Not circumvent Composability to avoid fees (non-circumvention clause).

5. Intellectual Property

All platform content, methodologies, AI scoring logic, and investor matching systems are the intellectual property of Composability Ltd. Unauthorised use, duplication, or resale is prohibited. You retain ownership of content you submit to us (e.g. pitch decks, financials).

6. Acceptable Use Policy

Users may not:

  • Upload content that is unlawful, harmful, or infringes third-party rights.
  • Attempt to reverse engineer, hack, or damage the platform.
  • Use the site for any purpose in breach of applicable law or export regulations.

We reserve the right to suspend accounts for violations.

7. Limitations of AI Insights

ComposabilityScores™ insights are probabilistic and generated using AI models. They do not constitute investment advice or guarantees of success. Users must use independent judgment and are solely responsible for decisions made based on our tools or content.

8. Beta Features Disclaimer

Some features may be labeled as “Beta” or “Preview” and are offered as-is, with no guarantee of availability, accuracy, or future support. We may modify or remove Beta features without notice.

9. Limitation of Liability

To the extent permitted by law:

  • Total liability is capped at £1,000,000 under our Hiscox Professional Indemnity policy (Policy: PSC10003721969).
  • We are not liable for: loss of profits, indirect or consequential losses, data loss, cyber-attacks, or excluded risks (e.g. terrorism, bodily injury, FCA-regulated activity).

10. Crisis Containment Disclaimer

We hold Crisis Containment Insurance for internal risk management. Media statements, PR response, or communication during crises are handled at our discretion and do not form part of the services offered to clients.

11. Indemnification

You agree to indemnify and hold harmless Composability Ltd from any third-party claims or liabilities arising from your misuse of our services or reliance on our insights.

12. Export Control and Sanctions

You agree not to access or use our services in violation of UK, US, or international export control laws, sanctions, or anti-boycott regulations.

13. Privacy & Data Protection

We are registered with the ICO (Registration No: ZB658324) and fully comply with UK GDPR. Our full privacy practices are described in our Privacy Policy.

14. Business-to-Business Use Only

All services are designed for business users only. By using our platform, you confirm you act in a commercial capacity. Consumer rights do not apply.

15. Cancellation and Refund Policy

Fees are non-refundable once service delivery has commenced. Cancellation requests must be submitted in writing to hello@composability.co.uk. If a discretionary refund is granted, a 10% administrative fee may apply.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of England & Wales. Disputes shall be resolved in the English courts. Both parties agree to attempt good-faith mediation before pursuing legal action.

17. Governing Language

These Terms are written in English. In the event of any translation, the English version shall prevail.

18. Severability and Survival

If any provision is deemed unenforceable, the remainder of these Terms shall remain in full force. Any clauses which by their nature should survive termination shall do so.

19. Complaints and Insurance

We aim to acknowledge complaints within 3 business days and resolve within 30 days. Email complaints to hello@composability.co.uk. We hold Professional Indemnity and Crisis Containment Insurance with Hiscox (Policy No: PSC10003721969). Some clients may have recourse to the FSCS subject to eligibility.
